The Ascenly mobile application and related services (together, the "Service") are operated by Ascenly LLC ("Ascenly," "us," or "we"). Access and use of the Service is subject to the following Terms and Conditions of Service ("Terms and Conditions"). By accessing or using any part of the Service, you represent that you have read, understood, and agree to be bound by these Terms and Conditions including any future modifications. Ascenly may amend, update, or change these Terms and Conditions. If we do this, we will indicate at the top of these Terms and Conditions the date they were last revised, and any revisions will become effective upon your next access or use of the Service after such changes are posted. If the changes are material, we will notify you via the email address associated with your account. If you do not agree to abide by these Terms and Conditions, you are not authorized to use, access, or participate in the Service.
The Service allows users to pursue AI-guided personal development through personalized coaching and structured programs. Ascenly may, in its sole discretion and at any time, update, change, suspend, make improvements to, or discontinue any aspect of the Service, temporarily or permanently.
You are responsible for your use of the Service and for any use of the Service made using your account. To maintain a safe and positive experience for all users, you agree not to:
In connection with registering for and using the Service, you agree to: (i) provide accurate, current, and complete information as requested by Ascenly; (ii) maintain the confidentiality of your password and other account security information; (iii) promptly update your registration information to keep it accurate and current; and (iv) be fully responsible for all use of your account and for any actions that take place through your account.
You represent and warrant to Ascenly that your access and use of the Service will be in accordance with these Terms and Conditions and with all applicable laws, rules, and regulations. You further represent and warrant that you are at least 13 years of age. If you are under the age of 18, you confirm that you have obtained parental or guardian consent to use the Service.
When you submit content through the Service ("Content"), you grant Ascenly a non-exclusive, worldwide, royalty-free license to use, store, and process that Content solely for the purpose of providing and improving the Service. You represent that you own or have the right to submit the Content you provide.
You will not submit any Content that: (i) is unlawful, abusive, threatening, harassing, hateful, or offensive; (ii) infringes upon the rights of any third party; or (iii) in Ascenly's sole judgment, is objectionable or may expose Ascenly or its users to harm or liability of any kind.
The Service uses artificial intelligence to deliver personalized coaching and content. Such content is intended for personal development purposes only and does not constitute professional medical, psychological, or therapeutic advice. You should not rely on AI-generated content as a substitute for advice from a qualified professional. Ascenly makes no representations or warranties regarding the accuracy, completeness, or suitability of any AI-generated content.
You agree to defend, indemnify, and hold harmless Ascenly LLC and its directors, officers, employees, contractors, agents, and successors from and against any and all losses, claims, liabilities, and damages, including attorneys' fees, arising out of or relating to your access or use of the Service, any false representation made to us, or your breach of any of these Terms and Conditions.
Subject to the terms of these Terms and Conditions, Ascenly grants you a non-transferable, non-exclusive license to download, install, and use the Ascenly app on a device that you own or control. You may not attempt to derive the source code of the app, reverse engineer, decompile, or disassemble it, or permit any third party to do so.
If you are using the app downloaded from the Apple App Store, you acknowledge and agree that: (i) these Terms and Conditions are solely between you and Ascenly, not Apple; (ii) Apple has no responsibility for the app or its content; (iii) your use of the app must comply with the App Store Terms of Service; (iv) Apple has no obligation to provide maintenance or support for the app; and (v) Apple is not responsible for addressing any claims relating to the app, including product liability claims or claims that the app fails to conform to any legal or regulatory requirement. In the event of any third-party intellectual property infringement claim, Ascenly, not Apple, will be solely responsible for the investigation, defense, and resolution of such claim.
Automatic Renewal. If you purchase a subscription through the Service, your account will be billed on a recurring basis until you cancel it. After your initial subscription period, your subscription will automatically renew for an equivalent period. If you do not wish your subscription to renew automatically, you must cancel it at least 24 hours before the end of the current billing period through your account settings in the applicable app store.
Free Trial. Ascenly may offer a free trial period for new subscribers. At the end of the free trial period, access to paid features will cease unless you actively choose to purchase a subscription. Your payment method will not be charged unless you take explicit action to subscribe.
Pricing. Ascenly currently offers the following subscription plans:
Ascenly may revise subscription pricing at any time. We will notify you of any price changes before they take effect. Continued use of the Service after a price change takes effect constitutes your agreement to pay the updated price.
Payment Processing. All financial transactions made in connection with the Service are processed by Apple in accordance with their terms and conditions. Ascenly is not responsible for the actions or inactions of any third-party payment processor.
Refund Policy. All payments are nonrefundable and there are no refunds or credits for partially used subscription periods, unless otherwise required by the law in your jurisdiction. If you cancel your subscription, you will continue to have access to the Service through the end of your current billing period. Please note that purchases made through the Apple App Store are handled by Apple, and Ascenly cannot issue refunds for those purchases.
The Service may contain links to third-party websites or services that are not owned or controlled by Ascenly. Ascenly does not endorse or assume any responsibility for any such third-party sites, information, or services. If you access any third-party website or service from Ascenly, you understand that these Terms and Conditions and our Privacy Policy do not apply to your use of those sites.
THE SERVICE, INCLUDING ALL CONTENT AND FEATURES THEREIN, IS PROVIDED TO YOU ON AN "AS IS" BASIS. ASCENLY AND ITS SUPPLIERS MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND WITH RESPECT TO THE SERVICE, EITHER EXPRESS OR IMPLIED, AND ALL SUCH REPRESENTATIONS AND WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, ARE EXPRESSLY DISCLAIMED. ASCENLY DOES NOT MAKE ANY REPRESENTATION OR WARRANTY RELATING TO ACCURACY, SERVICE AVAILABILITY, COMPLETENESS, ERROR-FREE OPERATION, OR RESULTS TO BE OBTAINED FROM USE OF THE SERVICE. ACCESS AND USE OF THE SERVICE MAY BE UNAVAILABLE DURING PERIODS OF PEAK DEMAND, SYSTEM UPGRADES, MAINTENANCE, OR FOR OTHER REASONS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ASCENLY BE LIABLE TO YOU OR ANY THIRD PARTY FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATING TO THE ACCESS OR USE OF, OR THE INABILITY TO ACCESS OR USE, THE SERVICE OR ANY PORTION THEREOF, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, BUSINESS INTERRUPTION, OR LOSS OF PROFITS, EVEN IF ASCENLY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ASCENLY'S TOTAL LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER SHALL BE LIMITED TO THE AMOUNT PAID BY YOU TO ASCENLY IN THE 12 MONTHS PRIOR TO THE INITIAL ACTION GIVING RISE TO LIABILITY.
Ascenly may terminate your access to and use of the Service at any time, for any reason. If you have an active paid subscription at the time of termination, your access will continue through the end of your current billing period unless termination is required by applicable law or due to a material breach of these Terms and Conditions. You may delete your Ascenly account at any time by following the instructions within the app. Sections relating to representations and warranties, indemnification, intellectual property, disclaimers, limitation of liability, and governing law shall survive any termination of these Terms and Conditions.
All content available through the Service, including designs, text, graphics, images, software, and other files, and their selection and arrangement ("Service Content"), are the proprietary property of Ascenly LLC or its licensors. No Service Content may be modified, copied, distributed, reproduced, republished, scraped, displayed, posted, transmitted, or sold in any form or by any means, in whole or in part, other than as expressly permitted in these Terms and Conditions. All rights of Ascenly or its licensors not expressly granted in these Terms and Conditions are reserved.
"Ascenly" and all related trademarks, service marks, graphics, and logos used in connection with the Service are trademarks or service marks of Ascenly LLC. Access and use of the Service does not grant you the right or license to reproduce or otherwise use the Ascenly name or any Ascenly trademarks, service marks, graphics, or logos.
Use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the terms of the Privacy Policy.
These Terms and Conditions shall be governed by and construed under the laws of the State of California, United States of America, excluding any conflict of laws provisions, regardless of your country of origin or where you access the Service.
All judicial proceedings relating to or arising out of these Terms and Conditions or the Service shall be brought in the state or federal courts sitting in California. Both parties consent to the personal jurisdiction of such courts and waive any objection to venue in those courts.
If you are a California resident, in accordance with Cal. Civ. Code § 1789.3, you may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by contacting them in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.
These Terms and Conditions constitute the entire agreement between Ascenly and you concerning the subject matter hereof. If any provision of these Terms and Conditions is held by a court of competent jurisdiction to be unenforceable, such provision shall be limited or eliminated to the minimum extent necessary so that these Terms and Conditions shall otherwise remain in full force and effect. A waiver by Ascenly of any provision of these Terms and Conditions or any breach thereof, in any one instance, will not waive such term or condition or any subsequent breach thereof. Ascenly may assign its rights or obligations under these Terms and Conditions without condition. You may not assign your rights or obligations under these Terms and Conditions without Ascenly's prior written consent.
